Our main service is a WEEK PLAN platform (“WEEK PLAN”) that is designed to help people in effective time and task management. Through the WEEK PLAN that is available at our website: https://weekplan.net/ (the “Site”), through our mobile applications for iOS, Android and Windows (the “Apps”) and through our related services. For convenience purposes, the WEEK PLAN, the Site, the Apps and related services may be collectively referred to as the “Services”. With the help of the Services, users can seamlessly organize their schedules, tasks, and priorities, share comments and attachments, and collaborate with other users. Additionally, our Services provide access to a wide range of features provided by WEEK PLAN to enhance user’s productivity and organization. About these Terms of Service

These Terms of Service (referred to as the “Terms” or “Agreement”) constitute a legal contract between you (referred to as the “User”, “you”, or “your”) and Wise Labs Pty Ltd (referred to as “Wise Labs”, “we”, “us”, or “our”). These Terms govern your use of the Services and aim to clarify our obligations to you and your obligations to us. By using the Services, you agree to abide by these Terms, our Privacy Policy, and any other legal notices or guidelines posted on the Site or within the Apps. If you have been granted access to the Services through a third-party company, you acknowledge that you, and not the third-party company, are considered a User, and it is your responsibility to comply with these Terms.

Modifications to these Terms

These Terms are subject to occasional changes, and it is advisable to review them periodically to stay informed about our practices. Whenever modifications are made, the date at the top of the Terms will be updated to signal the change. Additionally, we may, at our discretion, provide you with additional notification, such as sending an email alert. Any alterations we make to these Terms will become effective upon their posting. By continuing to use the Services after the revised Terms have been posted, you acknowledge and accept the changes made to these Terms.

Privacy Policy

To understand how we collect, utilize, and share your information through the Services, please refer to our comprehensive Privacy Policy. Our Privacy Policy outlines the types of information we collect, the purposes for which we use this information, and how we safeguard your privacy. It also details your rights regarding your personal data and how you can exercise them. Intellectual Property Ownership

Wise Labs or its licensors retain full ownership of all intellectual property rights associated with the Site, Apps, and Services, including but not limited to trademarks, copyrights, and any other proprietary rights. Except for the rights expressly granted in these Terms, no other rights are conferred or implied, and all such ungranted rights remain reserved by Wise Labs or its licensors. Unauthorized use, reproduction, or distribution of any materials found on the Site, Apps, or Services is strictly prohibited and may result in legal action.

Permission to Use the Services (License) And Prohibited Uses

As long as you follow these Terms properly, Wise Labs gives you permission (license) to access and use the Services. The license we grant you is limited, non-exclusive, non-transferable and revocable license to access and use the Services under these Terms.

However, there are certain things you’re not allowed to do:

(a) Disassemble, decompile or perform a reverse engineering of any software components of the Services.

This means that you can’t take apart, figure out, or change any of the software that makes up the Services.

(b) License, sublicense, resell, distribute, lease, rent, lend, transfer, assign, or otherwise dispose of the Services.

This means that you can’t sell, share, or give away the Services to any third parties without our permission to do so.

This means that you are not allowed to do anything to change, share, adjust, translate, or create new things (for example, new products or services) based on the Services.

(d) Copy, frame, or mirror any part of the Services.

This means that you cannot duplicate, enclose, or replicate any aspect of the Services.

(e) Interfere with or disrupt the integrity or performance of the Services.

This means that you cannot mess with or disturb how the Services work or how well they perform.

(f) Attempt to gain unauthorized access to the Services or its related systems or networks.

This means that you cannot try to access the Services or any systems or networks connected to it without our permission to do so.

(g) Remove, alter, or obscure any copyright, trademark, or other proprietary rights notice on or in the Services.

This means that you cannot take away, change, or hide any labels or symbols that indicate copyright, trademark, or other ownership rights on or within the Services.

These rules are in place to keep the Services safe and working properly for every user. If you break these rules, your permission (license) to use the Services may be taken away (revoked), and there could be legal consequences.

Additional Considerations For Your License

In accordance with the terms, conditions, and limitations outlined in these Terms, Wise Labs provides you with a non-exclusive, global, personal, non-assignable, non-sublicensable, non-transferable, and revocable license to utilize the Services on any mobile device that you possess or manage. This license also governs any upgrades offered by Wise Labs that replace and/or enhance the original WEEK PLAN, unless such upgrades come with a separate license, in which case the terms of that license will apply.

User Account Creation

To be able to use the Services, you need to create a User account. When you create a member account, you agree to safeguard your password securely. Sharing access to your User account with third parties is generally prohibited. However, should anyone else gain access to your account, they could take actions and accept legal terms on your behalf. Therefore, all activity conducted will be considered as if done by you. It’s essential to keep your login details confidential, as a compromised password could lead to the exposure of sensitive personal information. If you detect or suspect any security breaches within the Services, please notify us promptly. You affirm that all information provided in connection with your account is accurate, truthful, current, and complete. Wise Labs retains the right to deny, deactivate, or terminate any account at our discretion.

Subscription Terms

Access to WEEK PLAN is available exclusively through a subscription after the trial period ends. Our paid subscription, known as “WEEK PLAN ULTIMATE,” is priced at $16.25 per month for monthly subscriptions or $156 for annual subscriptions, unless otherwise agreed upon in writing by Wise Labs. Pricing may be subject to change, and the benefits associated with WEEK PLAN ULTIMATE may also change over time.

Subscriptions automatically renew for successive monthly or annual periods until cancelled. If you initiated your WEEK PLAN subscription through Apple (Apple App Store, ApplePay), Google, Stripe or PayPal, payment will be charged to your Apple App Store, Google Play, Stripe, or PayPal account upon confirmation of purchase. Subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period, and your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage your subscriptions and turn off auto-renewal by accessing your Account Settings after purchase. Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription, where applicable. Please refer to their respective support pages online for information on managing your auto-renewing subscription.

For cancellation of your WEEK PLAN subscription, please refer to our Subscription Cancellation terms mentioned below. Cancellations received with at least seven (7) days’ notice before the end of the then-current subscription period are effective at the end of that period. Cancellations received fewer than seven (7) days before the end of the then-current subscription period are effective at the end of the next subscription period.

Wise Labs reserves the right to cancel your subscription with or without cause at any time. If Wise Labs cancels your subscription without cause before the end of your subscription period, you may be entitled to a refund, prorated for the remaining time on your subscription period. Otherwise, subscriptions are non-refundable except as expressly set forth in writing by Wise Labs.

Automatic Payments

By subscribing to WEEK PLAN paid subscription, you authorize automatic recurring payments for the chosen subscription fee and any applicable taxes or other fees. The billing cycle for your subscription will be monthly or annually, depending on your selected subscription plan.

If you choose Stripe as your payment method, your payment authorization will be managed by Stripe in accordance with their terms of service.

For payments made through PayPal or ApplePay, you authorize automatic recurring payments through your respective account settings. Please refer to PayPal or ApplePay terms of service for managing your payment methods and automatic payments.

Subscription Cancellation (Stripe, ApplePay, PayPal)

If you used Stripe for payment, you can cancel your WEEK PLAN subscription directly from your User Account. To cancel, please follow these steps:

Log in to your WEEK PLAN User Account.
Navigate to your account settings.
Find your subscription details and click on the cancel subscription option.
Follow the prompts to confirm your cancellation.

For subscriptions paid through PayPal, you will need to cancel automatic payments through your PayPal account settings. Please log in to your PayPal account and follow their instructions for managing your subscriptions.

If you paid via ApplePay, you will need to cancel your subscription directly through your Apple account settings. Please refer to Apple’s instructions for managing subscriptions.

Refund Policy

Service and Discount Codes

Wise Labs may issue service and discount codes at its discretion, providing discounts for WEEK PLAN paid plans or other benefits. These service and discount codes, if available, must be redeemed at the time of subscribing to WEEK PLAN and cannot be combined with any other discounts, promotions, or offers without Wise Labs’ express consent. Redemption of service codes is subject to approval by Wise Labs and requires valid registration with WEEK PLAN. Service codes are non-transferable unless expressly permitted by Wise Labs. You are responsible for any taxes incurred due to the use of service and discount codes. Additional terms may apply.

Informational Purposes Only

The Services are provided solely for your basic informational purposes. It is your sole discretion to determine whether to utilize the Services offered by Wise Labs or not. While we furnish WEEK PLAN and related services to aid in managing your time and tasks, we do not offer professional advice and bear no responsibility for your reliance on any information obtained through your use of the Services, whether provided by Wise Labs or its users.

Ownership of User Content

While you retain ownership of all your Content (defined as any material, information, or data uploaded, posted, transmitted, or otherwise made available by you through the Services), by posting, linking, or otherwise making Content available on the Services, you grant Wise Labs a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to utilize, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such Content worldwide, in any manner or media, both on and off the Services.

In the relationship between you and Wise Labs, all information, materials, and content of the Service, including text, graphics, data, formatting, graphs, designs, HTML, look and feel, photographs, music, sounds, images, software, videos, designs, typefaces, source and object code, format, queries, algorithms, and other content, are owned by Wise Labs or used with permission. Wise Labs reserves all rights not explicitly outlined in these Terms..

Third-Party Materials

As a convenience to our users, third-party content or services, such as links to third-party websites (“Third-Party Materials”), may be provided on or through the Services. Wise Labs neither controls nor endorses Third-Party Materials, and we are not responsible for verifying the accuracy of such content. Your interactions or transactions with third parties, including any terms, conditions, warranties, or representations associated with Third-Party Materials, are solely between you and the relevant third party. Please note that when you navigate away from our Services, these Terms and all other Wise Labs policies cease to apply to your use of other websites and services.

Data from Partner Companies

Some data about you (including, without limitation, some of your personal data) may be collected from various sources in addition to what you provide directly through our Services. These sources for such data collection include:

Customer Support Interactions. We may collect data such as your name, contact information, and the nature of your inquiry when you contact us through in-app chat support, email, or phone.
Data from Partner Companies. We may collaborate with marketing partners, analytics providers, or other companies who offer their products or services through our Site, Apps or Services. These partners may share certain data about you, such as demographic information or website usage data, that they have collected independently. We only obtain this data after you have consented to such sharing with our partners.
Co-Branded Websites. We may partner with other companies to offer co-branded websites or services. On these websites, you may be providing your data directly to our partner, but it may also be shared with us upon certain conditions.

We use this additional data to improve our Services, personalize your experience, and provide you with relevant offers. However, these Terms as well as our Privacy Policy only cover the collection and use of your data through our Services. When you click on a link to a third-party website, their privacy policy applies.

Third-Party Beneficiaries

In the event you use the Services through our mobile application acquired or downloaded from the Apple App Store, please note that the Apple App Store, Apple and its subsidiaries are intended third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce any of the terms and conditions of these Terms against you as a third-party beneficiary thereof.

In the event you use the Services through our mobile application acquired or downloaded from Google Play Store, Google Inc. is intended third-party beneficiary of these Terms. Upon your acceptance of these Terms, Google Inc. will have the right (and will be deemed to have accepted the right) to enforce any of the terms and conditions of these Terms against you as a third-party beneficiary thereof.

Relationship with Wise Labs

Your use of the Services does not establish any additional relationship between you and Wise Labs Pty Ltd, such as agency, partnership, joint venture, or employment. Wise Labs does not bear any obligations to you or any other User beyond those expressly stated in these Terms or any other written agreement signed by an authorized agent of Wise Labs.

Warranty Disclaimer

THE SERVICES AND ANY OTHER SERVICE AND CONTENT INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICES (INCLUDING THIRD PARTY MATERIALS) ARE PROVIDED TO YOU ON AN AS-IS OR AS-AVAILABLE BASIS WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND. WE DISCLAIM ANY AND ALL OTHER WARRANTIES AND REPRESENTATIONS (EXPRESS OR IMPLIED, ORAL OR WRITTEN) WITH RESPECT TO THE SERVICES AND CONTENT INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICES (INCLUDING THIRD PARTY MATERIALS) WHETHER ALLEGED TO ARISE BY OPERATION OF LAW, BY REASON OF CUSTOM OR USAGE IN THE TRADE, BY COURSE OF DEALING OR OTHERWISE.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (A) IN NO EVENT WILL WISE LABS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, INDIRECT, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR TO THE SERVICES OR ANY OTHER SERVICE AND CONTENT INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICES (INCLUDING THIRD PARTY MATERIALS), REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, BY STATUTE OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF THESE DAMAGES OR ARE AWARE OF THE POSSIBILITY OF THESE DAMAGES; AND (B) THE AGGREGATE LIABILITY OF WISE LABS, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING AS A RESULT OF WISE LABS’S ALLEGED NEGLIGENCE), PRODUCT LIABILITY, STRICT LIABILITY OR OTHER THEORY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF OR INABILITY TO USE THE SERVICES EXCEED ANY AMOUNTS PAID BY YOU TO WISE LABS FOR THE SERVICES.

Indemnification

You agree to defend, indemnify, and hold harmless Wise Labs and its affiliates, directors, officers, employees, strategic partners, licensors, and any other related party against all liabilities, damages, losses, costs, fees (including legal fees), and expenses arising from or related to any actions taken in connection with the Services or any violation (or alleged violation) of these Terms or the rights of any third party by you or any person using your User account.

Changes to the Service

Wise Labs reserves the right to make changes to the Terms from time to time. When changes are made, Wise Labs will provide an updated version of the Terms. Wise Labs will not be liable to you or any third party for any changes or discontinuance of the Service or any part of the Service.

By utilizing the Services, you consent to receiving electronic communications from us regarding your usage of the Services. You acknowledge that any notices, agreements, disclosures, or other communications we send to you electronically fulfill legal communication requirements, including those stipulating that communications must be in writing. Suspension and Termination

Wise Labs reserves the right to suspend or terminate your access to or use of the Services at its discretion, with or without prior notice, for any reason or no reason at all. While Wise Labs will make its best effort to inform you about any decision to suspend or terminate access, such communication may not always be feasible. Despite any suspension or termination, all terms of these Terms (excluding our license grants to you) will remain valid and enforceable. General

Enforcement of these Terms is solely at the discretion of Wise Labs. The failure to enforce any part of these Terms in certain instances does not waive our right to enforce the same or other parts of these Terms in other instances. In these Terms, the term “including” means “including, without limitation”. The section headings in these Terms are for reference purposes only and shall not affect the meaning or interpretation of these Terms.

Entire Agreement

These Terms constitute the entire agreement between you and Wise Labs regarding your use of the Services and supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.

Governing Law

These Terms and any disputes arising from or relating to them shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law principles.

Severability

In the event that any provision of these Terms is deemed unlawful, void, or unenforceable (including the warranty disclaimers and liability limitations stated above), such provision shall be considered superseded by a valid and enforceable provision that most closely aligns with the original intent of the provision. Despite this, the remaining provisions of these Terms will remain fully enforceable and effective.
